Competition Terms and Conditions

This document details the Terms & Conditions of a skill-based, prize competition operated by Ultra Primus Ltd through its WinThis.Life website. Contingent on achieving the required total value of ticket sales as defined herein, the prize of this competition will be: Casa Cayuco Eco Adventure Lodge, Punta Vieja, Isla Bastimentos, Bocas del Toro, Panama - AS FULLY DETAILED IN APPENDIX 1 OF THIS DOCUMENT.
1. The Promoter Ultra Primus Ltd (the Promoter) trading through the website WinThis.Life offers individuals (‘Entrants’) the opportunity to win a Prize by participating in a skill-based, Spot The Ball Competition.
2. The Entrant(s). To be eligible to participate in the Competition, an Entrant must be 18 years of age or over. By entering the Promoter’s Competition, an Entrant accepts the Competition Terms & Conditions and confirms that they (if not based in the United Kingdom) are permitted to participate in a competition of this nature and have reached the age of majority in their home country. If a prospective entrant finds that they are not eligible to enter, they should leave the website immediately. The Promoter will not be liable in any way if an Entrant enters the Competition unlawfully. Entrants should make and rely on their own enquiries and legal advice about the Prize and ownership of the Prize before entering the Competition. The Promoters, their family, employees, professional advisers or anyone else connected with the operation or development of; the Competition or Website will not be eligible to enter the Competition.
3. Entrant Details. By entering the Competition, Entrants warrant that all information which they submit is accurate, true and complete.
4. Relevant Jurisdiction. The Promoter and all Entrants acknowledge that The Competition and all activities related to it are governed by English Law. In the event of any dispute arising from The Competition and/or administration of The Competition, The Promoter and all Entrants understand that the County Courts and High Courts of England will hold exclusive jurisdiction over the matter.
5. The Winner. The Competition will have one Winner, selected as per the Terms & Conditions in this document. The Winner shall be awarded the Prize from this Competition.
6. The Prize. The Winner’s Prize will consist of either; (i) where the targeted total value of tickets sold is achieved, Casa Cayuco Eco Adventure Lodge, Punta Vieja, Isla Bastimentos, Bocas del Toro, Panama, all listed acquisition costs of said property/business and a cash lump sum of $50,000 (all as specifically detailed in Appendix 1) OR (ii) where the targeted total value of tickets sold is not achieved, a cash prize equating to 90% of the total value of ticket sales (excluding the additional transaction fees applicable to each purchase of ticket(s)). If the targeted total value of tickets is sold, the property (as per Appendix 1) will be awarded as a Prize with no cash alternative.
7. The Prize Details The Prize details, as per Appendix 1, are complete and non-negotiable. The Promoters accept no liability for errors or omissions contained within the description, details or specification of the Prize in Appendix 1 or on any other part of the Promoter’s Website or any other material published by the Promoter.. It is the sole responsibility of each Entrant (and in particular the Winner) to satisfy him/herself as to the accuracy of any such details and/or any content of the Promoter’s website.
8. The Competition. The Promoter will run each of its Competitions independently and thus an entry will only apply to the Competition for which it is specifically purchased. The Entrant, on submitting their requested details and providing payment via the website (URL: WinThis.Life), will be eligible to enter the Competition which will consist of a skill-based, ‘Spot The Ball’ contest. When provided with an image of a ball game with the ball removed, Entrants must use their skill and judgement to decide where they believe a panel of one or more skilled professional players/ ex-professional players/other suitably qualified experts of that sport would judge the centre of the ball to be. By positioning a ball on the image using a cursor, The Entrant will select an ‘X,Y’ coordinate on said image which will then be recorded against their entry (and same for any subsequent entries). Once the Competition reaches the sooner of either the Closing Date or the targeted total value of tickets sold, The Promoter will instruct its chosen panel of one or more professional players/ ex-professional players/other suitably qualified experts of said sport to decide where they believe the centre of the ball is most likely to be in the image. The closest Entrant’s ‘X,Y’ coordinate to the ‘X,Y’ coordinate chosen by the panel will be the Winner. For the avoidance of any doubt concerning this mathematical calculation, the distance between each Entrant’s selected position and the Judges’ selected position will be calculated by the most direct route between them i.e. a straight line.
9. Accounts. By registering on the Competition Website, an Account will be created for each Entrant, linked to the email address provided at the time of registering. Only one Account can be opened per email address. All Entrant ‘accounts’ are individual entities, unconnected with other Accounts. Entrants will be emailed to confirm that their Account has been opened. Thus, in the case of a Tied-Winner (section 20), an Entrant with two or more Accounts will not have their Entries from all of their Accounts taken into consideration for the purposes of identifying the Winner. Only Entries from the Account with the winning ‘Tied’ entry will be taken into consideration in this instance.
10. Entry Price and Availability. The price and currency for entering each Competition will be detailed on the Website’s payment page for that Competition. Multiple entries purchased at the same time, from a single Account may be offered a lower ‘per-play’ price than a standalone, single purchase. This will be clearly detailed on the Competition’s Website and will be at the Promoter’s discretion. The Promoter will not be liable if a prospective Entrant is unable to access the Website to purchase entries. The Promoter, at their discretion, may choose to offer further discounts or complimentary entries to existing or prospective Entrants in order to promote the Competition. All valid entries will be treated equally and thus the only criteria used to judge the Winner will be those detailed in these Terms & Conditions.
11. Entering the Competition. Entries to the Competition will only be accepted via the WinThis.Life website. All Entrants must submit the requested details in order to create an Account. All Entrants must carefully read and agree to the Competition Terms and Conditions before they are able to enter the Competition.
12. Account Credits. Once logged in to their Account using their supplied email address and chosen password, Entrants will be able to purchase Credits to enter the Competition. The number of available credits in their Account will be visible at the top of their ‘logged-in’ screen. Each confirmed entry into the Competition (i.e. each confirmed selection of an X,Y coordinate) will be logged on their account and this will reduce the number of available credits by one. Confirmed entries into the competition will be emailed to the Entrant using their supplied email address.
13. Valid Entries. All Entries to the Competition are final. Other than in the case of entries submitted after the Closing Date or, where relevant, the Maximum Extended Closing Date, no refunds shall be made at any time or for any reason.
14. Disqualified Entries. The Promoter has the discretion to disqualify any Entrant(s) without refund if there are reasonable grounds for it to conclude that the Entrant has acted in breach of any relevant Law or any of the Terms & Conditions in this document. This can include but is not limited to: (i) hacking or interfering with the Competition’s Website (ii) editing or unauthorised use of any of the code from the Competition’s Website (iii) any type of perceived or actual fraud including fraudulent misrepresentation.
15. Ineligible Entrants. The Promoter has the discretion to disqualify any Entrant(s) if there are reasonable grounds for it to conclude that the Entrant is ineligible to participate in this Competition. The Entrant will be responsible for ensuring that they are eligible to enter the Competition.
16. The Closing Date The Competition’s Closing Date is 14th February 2018. If the targeted total value of tickets sold is reached prior to the Closing Date, the Competition will close and the Promoter will follow the procedure for selecting the Winner within 7 days. If the Closing Date is reached but the targeted total value of tickets have not been sold, the Promoter can decide to; (a) end the Competition and award a cash prize to the Winner (as per the procedure indicated herein) equal to 90% of the total ticket revenue (excluding the additional transaction fees applicable to each purchase of ticket(s)), (b) extend the Competition for a maximum of 8 weeks from the Closing Date or (c) if the targeted total value of tickets are not sold however the total value of tickets sold is sufficiently high that the Property can still be made available to the Winner, then the Prize may still be awarded (this option is available at the sole discretion of The Promoter).
17. Competition Extension. If the targeted total value of tickets sold by the Closing Date is not reached, the Promoter - at their sole discretion - can extend the Competition for a maximum of 8 weeks. If the targeted total value of tickets sold is reached prior to, or on, the Maximum Extended Closing Date, the Competition will close and the Promoter will follow the procedure for selecting the Winner within 7 days. If the Maximum Extended Closing Date is reached but the targeted total value of tickets have not been sold, the Promoter can decide to; (a) award a cash prize (as per the procedure indicated herein) equal to 90% of the total ticket revenue (excluding the additional transaction fees applicable to each purchase of ticket(s)) or (b) if the targeted total value of tickets are not sold however the total value of tickets sold is sufficiently high that the Property can still be made available to the Winner, then the Prize may still be awarded (this option is available at the sole discretion of The Promoter.
18. Winner Notification. Once the panel of judges has selected its X,Y coordinates and a Winner has been mathematically calculated using the process described herein, The Promoter will contact the Winner using the telephone number(s) and/or email address as provided by the Entrant. The Promoter will be granted 7 days to contact The Winner (which can be extended at the sole discretion of the Promoter). It is the sole responsibility of each Entrant to ensure that the contact details provided to the Promoter are accurate and up to date.
19. Winner Identification and Verification. On receiving confirmation from The Promoter of their winning entry, The Winner will be required to provide two forms of identification in order to verify his/her identity. The Winner will also be required to prove that they have control over the method of payment used to enter the Competition. The Winner’s failure to identify themselves and/or their control of the payment method used to purchase their entry to the Competition, will give The Promoter the discretion to declare the entry as Null and Void. At its discretion, the Promoter can also elect to utilise any other reasonable procedures in order to satisfy itself that the Winner’s entry to the Competition was valid and not fraudulent.
20. Tied-Winner - There can only be one Winner of the prize. In the event that two or more Entrants select coordinates which are either exactly the same or exactly equidistant from the Judges’ selected coordinates, the winning entry will then be calculated by the next closest selection of each of those ‘winning’ players’. In the highly unlikely event that another tie then occurs, then the third closest selection will be used and so on. In the event that a ‘tie’ is declared and one or more of the Entrants involved in that ‘tie’ does not have a second (or, where relevant, third) selection of coordinates, the Promoter will ask each of those Tied-Winners to play a new ‘Spot the Ball’ game using the same methodology and under the same rules as in the original Competition with one ‘X,Y’ selection per player. In the event that one or more of the Tied-Winners cannot be contacted (for the purposes of playing a new Competition to identify a single Winner) within a 7 day period, then they will not be eligible to participate in the new Competition. Their Competition entry will be considered as Null and Void and thus they will not be eligible to compete for the Prize.
21. Winner Uncontactable. If The Promoter is unable to contact the winner by the end of the 7 day period following the selection of the winner (itself carried out 7 days after the Closing Date or, where relevant, the Maximum Extended Closing Date) the Promoter reserves the right to identify a new Winner (selected using the methodology described herein). The Promoter will make all reasonable efforts to contact the Winner but will not be liable if it is not able to make contact. It is the sole responsibility of each Entrant to ensure that the contact details provided to the Promoter are accurate and up to date.
22. Unforeseen Eventualities. If, during the course of the standard Competition (and where relevant the extended Competition), the value of The Prize is materially reduced (as reasonably judged by The Promoter) due to a factor beyond The Promoter’s control, including but not limited to; an extreme weather event, fire, flooding, structural deficiencies or any accidental or intentional damage by any individual or group of people, The Promoter reserves the right to stop The Competition and award a cash prize as per the Terms & Conditions of this document. The Promoter’s priority is protecting the value of the Prize for the Winner and so all factors affecting the Property will be considered including ‘external’ factors such as political, fiscal and legal risks of the Property’s host country. The Promoter will assess all relevant factors in good faith however will not be liable for any change in value of the Property, perceived or realised, both during and after the end of the Competition.
23. Data Protection. The Entrants recognise that the Promoters may use contact details and other data including personal data as described by, and in accordance with, the Data Protection Act 1998 and as supplied by the Entrants to the Promoters via the Promoter’s website in order to administer the Website and conduct the Competition according to these Terms and Conditions. This personal data may be shared with; any party to whom the Promoter transfers its business, rights or responsibilities and any Credit Card or Banking entities named by the Entrant. The Entrants also recognise that the Promoters may (either by choice or at the request of a relevant third party) disclose this information to relevant third parties for the purposes of the prevention of fraud and money laundering and/or for legal, financial or regulatory reasons. If any of the above processes involve transferring the Entrant’s personal data outside the UK, the Promoter will continue to ensure that the information is treated with equal care as if it were held inside the UK.
24. Oversight of Winner Selection At the time of calculating the winning entry, an independent UK Solicitor, appointed by the Promoter, will oversee both the Judges’ deliberations and the subsequent calculation of the winning coordinates to ensure a transparent and robust process is followed.
25. Promoter’s Decision In calculating the Winner’s X,Y coordinates and thus selecting the Winner, the Promoter’s decision is final. Once the Winner has been identified, the Promoter will not enter into correspondence about the result of the Competition.
26. Communications Once the Winner has been selected, all Entrants will be notified of the Winner’s name and location via the email address provided by each Entrant at the time of their registration on the Promoter’s website. The details of all Entrants will be registered on the Promoter’s database in order to keep Entrants informed about their Competition and to inform them of similar future Competitions run by the Promoter. Entrants can choose to opt-out of communications about future Competitions at any time.
27. Publicity The Winner agrees to be available for and participate in reasonable publicity requests from The Company and ‘the media’, for a period of 6 months after the end of The Competition. This can include, but will not be limited to video, photography and written interviews/quotes. The Promoter can then use those photographs, videos and interviews featuring or involving the Winner together with the name and town of residence of the Winner, for promotional purposes indefinitely.
28. Prize Value The Promoter offers no warranties for the quality, underlying value, ability to be sold or appropriateness of the Prize for the Winner and furthermore accepts no liability for any losses incurred by the Winner; theoretical, consequential or realised, relating to the Prize and the Competition.
29. Professional Advice The Winner is entitled to seek their own professional, tax and/or legal advice relating to the Prize however the Winner will not be able to accept a cash alternative. The Promoter will not be held liable for any losses or immediate or ongoing liabilities incurred as a result of the Winner seeking this advice or winning the Prize. The Promoter will provide no legal, tax or professional advice related to the Winner taking ownership of the Prize.
30. Accepting the Prize The Winner will, once officially notified of their winning entry, be required to comply with all reasonable requests from the Promoter to ensure the expedient transfer of ownership of the Prize to the Winner. Upon official notification of the win from the Promoter, the Winner will have a maximum of 90 days to either (a) move to the property and commence the 42 day official handover period or (b) find, with ‘on the ground’ assistance provided at the discretion of the current owner, a suitably qualified manager to run the resort on the Winner’s behalf within a maximum of 90 days. Regardless of when physical ownership is taken within the 90 day period by the Winner, the Promoter will incur no other liabilities or costs. If, for any reason, the Winner is unwilling or unable to complete the relevant transfer of ownership documents to enable the property transfer within 90 days, the Promoter has the discretion to declare the Winner’s entry as null and void and will then select another Winner. If the total value of ticket sales is not sufficient to award the property as the Prize, the Winner must provide details of a valid bank account in their own name for the transfer of the prize fund.
31. Non-Acceptance of Prize If, as per the Terms & Conditions herein, the Prize (whether the Property as per Appendix 1 or the cash prize as detailed in Section 6) is awarded to the Winner but, for any reason, the Winner does not want to accept the Prize awarded to them, there is no alternative prize. In this instance, the Promoter will register the Winner’s entry as null and void (by virtue of their unwillingness to accept the Prize) and will then select another Winner. The Promoter will not be held liable in any way if the Winner elects to refuse the Prize.
32. The Prize Fund. All monies raised from ticket sales (excluding the additional transaction fees applicable to each purchase of ticket(s) - which are paid to the payment processing provider) will be held in a separate bank account at the Promoter’s chosen Payment Processing Provider until the Winner of the Competition is selected and the prize awarded to The Winner.
33. Payment Processing Provider. All payments made to the Promoter for the purpose of entering the Competition will be processed by a third-party Payment Processing Provider. The Promoter will have no direct involvement in the processing of payments and will hold no payment details of the Entrants. The Promoter will not accept payments by any means other than those offered by the Payment Processing Provider on the Promoter’s Website.
34. Electronic Communications The Promoter shall accept no responsibility for failed or partial electronic communications, regardless of the means of transmission and regardless of whether the problem was caused by human error, omissions or computer failure/malfunction. The Promoters do not accept responsibility for entries which they do not receive. If for any reason, including but not limited to human error and computer error, the Prize is awarded incorrectly, the Promoter reserves the right to reverse the decision, reclaim the Prize (or stop the awarding of the Prize) and subsequently award the Prize to the true Winner. If the Prize is incorrectly awarded, the Promoter shall not be liable for any losses incurred either directly or indirectly by either the ‘incorrectly awarded’ Winner or the ‘true’ Winner. Therefore no compensation will be payable.
35. Amending Terms. The Promoters reserve the right to amend these Terms and Conditions at any time and for any reason. All Entrants will be promptly advised, via their email address, of any amendments to the Terms & Conditions.
36. Record of Terms & Conditions. All Entrants should keep a copy of these Terms & Conditions for their own reference.

Targeted Total Value of Ticket Sales: $2,650,000 (excluding the additional transaction fees applicable to each purchase of ticket(s)). Competition to close on achieving this figure or as per dates below.

About the Bocas Del Toro Province

Getting There

Casa Cayuco can be accessed via two principal routes:

Via Panama City: International Flights to Tocumen International Airport (PTY), taxi to Albrook International Airport (PAC – Air Panama), short flight to Isla Colon, Bocas del Toro (BOC) and then a boat to Casa Cayuco

Via Costa Rica: International Flights to San Jose International (SJO), Costa Rica. Short flight with Nature Air to Bocas Del Toro (BOC) and then a boat to Casa Cayuco

There is also an overnight bus route from Panama City to Bocas which is then followed by a boat journey to Casa Cayuco.
